In short: you get a yearly licence to use Ledger Shield on a set number of computers and Tally companies. The software runs on your computer, and we never receive your Tally data. We have made our best efforts to help you meet your obligations under India's Digital Personal Data Protection Act, 2023, but we do not guarantee compliance, and figures, working papers and AI output must be checked by you. The full terms follow.
This End User Licence Agreement ("Agreement") is between you, the individual or the entity you represent ("you"), and Authentic Technologies ("Authentic Technologies", "we", "us"). It governs Ledger Shield, including its desktop programs, local web app, MCP server, command-line tools, installer, updates and documentation (together, the "Software").
By installing, activating or using the Software you agree to this Agreement. If you accept it for a firm or company, you confirm that you are authorised to bind it. If you do not agree, do not install or use the Software.
"Licence Key" means the key issued to you after purchase. "Licence File" means the signed file the Software stores after activation, or that we issue for a computer without internet. "Tier" means Pro, Advanced or Team, as bought. "Machine" means one Windows installation on one computer, identified by a machine ID derived from it. "Company" means one company open in TallyPrime. "Licence Term" means the period from activation or issue until the expiry date in the Licence File. "Your Data" means everything the Software reads from TallyPrime, and everything it creates on your computer, including the token vault, disclosure log, exports and settings.
2.1 Subject to this Agreement and payment of the fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence, for the Licence Term, to install and use the Software on the number of Machines and with the number of Companies allowed by your Tier, for your internal business purposes. Those purposes include professional services you provide to your own clients, such as accounting, audit and tax work.
2.2 Tiers at the date of this version:

2.3 The Software enforces these limits. A Company takes a slot the first time it is opened in the Software. You can release a Company's slot, and it becomes available 30 days after release. You can release a Machine from the Software, when online, to activate the Licence Key on another computer.
2.4 Trial. Without a Licence Key, the Software runs a free trial for 3 days on one Machine with one Company and Pro features. The trial is for evaluation only and is provided without any warranty or support commitment.
3.1 Activating a Licence Key needs internet once. After activation, the Software checks the Licence File on your computer and works without internet until the expiry date.
3.2 When the Software contacts our licence server (activation, releasing a Machine, and an occasional check for a revoked licence when online), it sends only the Licence Key, the machine ID (a one-way hash) and the Software version. It never sends Your Data.
3.3 If your licensing computer has no internet, we may issue a Licence File for its machine ID on request.
3.4 After the expiry date, the Software keeps working for 7 days so you can renew, and then stops until a valid licence is activated. We may revoke a licence that was refunded, obtained by fraud or used in breach of this Agreement; a revoked licence stops working the next time the Software checks online.
4.1 Licences are sold for a year at the prices shown at shop.authentictechnologies.in when you order. Prices are exclusive of GST, which is charged at 18% (or the rate then applicable).
4.2 We issue a GST tax invoice in the name, business name, address and GSTIN you provide with the order. You are responsible for the accuracy of those details. Input tax credit is available to you subject to the conditions of GST law, which are yours to meet; we do not guarantee that credit will be allowed.
4.3 A licence does not renew automatically. To keep using the Software after the Licence Term, buy a renewal and activate the new Licence Key.
4.4 Refunds follow the refund policy in the Terms of Service at shop.authentictechnologies.in/terms, which forms part of this Agreement.
You must not, and must not allow anyone else to:
6.1 The Software runs on your computer. Authentic Technologies does not receive, host or process Your Data, or any personal data in your books, through the Software. The only data about you that we hold is what you give us to buy, invoice and support a licence (name, business name, address, e-mail, phone, GSTIN, payment reference), and the Licence Key, machine IDs and activation times. We use it for licensing, invoicing, support and our legal obligations, as described in our Privacy Policy at shop.authentictechnologies.in/privacy-policy.
6.2 For the personal data in your books, you are the data fiduciary. When you connect an AI app, its provider processes what the Software sends to it under your own agreement with that provider. You are responsible for having a lawful basis for that processing, for your agreement with the provider, and for any notice or consent the law requires.
6.3 You are responsible for the security of your computer, for your TallyPrime data and for backups. The token vault, disclosure log and exports stay on your computer, including after uninstalling, until you delete them.
7.1 Ledger Shield is built with our best efforts to help you meet your obligations under the Digital Personal Data Protection Act, 2023 and the rules made under it. It masks personal data from TallyPrime before it is passed to an AI app, keeps a local disclosure log, and gives you tools to check what was shared.
7.2 Masking relies on rules and patterns. It is designed to over-mask rather than under-mask, but it cannot recognise every possible form of personal data; for example, an unusual name written in a narration without any context may not be detected. The Software's settings, including turning masking off, are under your control.
7.3 Using the Software does not by itself make you compliant with the Act or any other law, and we do not guarantee any compliance outcome. Compliance remains your responsibility.
8.1 AI apps and models are third-party services governed by their own terms. Their output can be wrong or incomplete. Every posting to TallyPrime is prepared as a draft and needs your confirmation; you are responsible for reviewing each draft before you confirm it and for what you post.
8.2 Reports, dashboards, GST summaries and tax audit working papers are aids to your work, computed from your books. They are not professional advice, an audit report or a tax return, and they do not replace your professional judgement. You must verify them against the books, the records and the law before relying on them in any filing, report or opinion.
8.3 TallyPrime is a trademark of its owner. Ledger Shield is an independent product of Authentic Technologies and is not affiliated with, endorsed by or sponsored by Tally Solutions Pvt. Ltd. You need your own valid TallyPrime licence. We do not guarantee compatibility with every past or future version of TallyPrime.
During the Licence Term we may provide updates, which this Agreement governs. We provide reasonable support by e-mail at autech1402@gmail.com. Support does not include custom development, data repair or professional services, which may be offered separately.
10.1 The Software is licensed, not sold. Authentic Technologies and its licensors own all rights in it. All rights not expressly granted are reserved. If you send us suggestions, we may use them without obligation.
10.2 The Software includes open-source components, listed with their licences in THIRD-PARTY-NOTICES.txt in the installation folder. Those licences govern those components.
To the maximum extent permitted by law, the Software is provided "as is" and "as available". We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Software will be error-free or uninterrupted, that it will detect all personal data, or that its results will be accurate or complete.
12.1 To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, data, goodwill, or penalties, interest or tax demands, however caused.
12.2 To the maximum extent permitted by law, our total liability arising out of or in connection with the Software or this Agreement is limited to the fees you paid for the licence concerned in the 12 months before the event giving rise to the claim.
12.3 Nothing in this Agreement limits liability that cannot be limited under applicable law, or any right you have as a consumer that cannot be waived.
You will indemnify Authentic Technologies against claims, losses and costs arising from your breach of this Agreement, your breach of law (including data protection law), your processing of personal data of your clients or others, or your use of any AI app with the Software.
This Agreement lasts for the Licence Term, or for the trial. We may end it, and revoke your licence, if you materially breach it and, where the breach can be remedied, do not remedy it within 15 days of notice. On expiry or termination you must stop using the Software. Your Data remains yours. Sections 4.4, 5, 6, 7, 8, 10, 11, 12, 13, 15 and 16 survive.
We may publish a new version of this Agreement. A new version applies to licences bought or renewed, and to updates installed, after its publication. The current version is available at shop.authentictechnologies.in/ls-eula.
16.1 You must comply with applicable export and sanctions laws in using the Software.
16.2 If a provision is found unenforceable, the rest remains in effect.
16.3 This Agreement, with the Terms of Service and Privacy Policy it refers to, is the entire agreement about the Software, and replaces earlier understandings.
16.4 You may not assign this Agreement without our written consent. We may assign it to a successor to the business.
16.5 Neither party is liable for delay or failure caused by events beyond its reasonable control.
16.6 Not enforcing a provision is not a waiver of it.
16.7 This Agreement is governed by the laws of India. The courts at Guwahati, Assam have exclusive jurisdiction, as in our Terms of Service.
